Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE ARBRIDGE NETWORK PLATFORM. BY REGISTERING AN ACCOUNT, ACCESSING THE PLATFORM, OR USING ANY OF OUR SERVICES, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE PLATFORM OR SERVICES.

  1. Definitions & Interpretation

    In these Terms and Conditions, the following definitions apply unless the context requires otherwise:

    Arbridge / We / Us / Our Arbridge Network, the company operating the Platform and providing the Services described herein.
    Platform The Arbridge Network website, web application, mobile interfaces, APIs, and all associated tools, dashboards, and digital infrastructure.
    Services All products, features, automated trading functions, cross-chain execution capabilities, and related services offered by Arbridge Network through the Platform.
    User / You / Your Any individual or entity who accesses, registers on, or uses the Platform or Services.
    Account The registered user account created by a User on the Platform.
    Pulse Arbridge Network's proprietary AI-powered automated trading and execution system.
    Digital Assets Cryptocurrencies, tokens, stablecoins, and other blockchain-based digital assets supported on the Platform.
    Arbitrage The simultaneous buying and selling of digital assets across different markets or blockchains to profit from price discrepancies.
    Cross-Chain Swap The transfer or exchange of digital assets between different blockchain networks via bridge infrastructure.
    AML Anti-Money Laundering policies, procedures, and obligations applicable to our operations.
    Terms These Terms and Conditions of Use, as amended from time to time.
    Privacy Policy The Arbridge Network Privacy Policy governing collection and processing of user data, available on our Platform.
    Prohibited Jurisdiction Any country, territory, or region in which use of the Platform or Services is restricted or prohibited under applicable law.

    References to statutes or regulations include all amendments and subordinate legislation made thereunder. The singular includes the plural and vice versa. Headings are for convenience only and do not affect the interpretation of these Terms.

  2. Acceptance of Terms

    By accessing or using the Platform in any way, including browsing, registering an account, depositing funds, activating automated trading, or using any feature of our Services — you confirm that:

    • You have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy and any additional guidelines published on the Platform.
    • You have the legal capacity and authority to enter into a binding agreement, either on your own behalf or on behalf of the legal entity you represent.
    • You are not located in, organised under the laws of, or a resident of a Prohibited Jurisdiction.
    • Your use of the Platform and Services is lawful under all applicable laws and regulations in your jurisdiction.

    If you are using the Platform on behalf of a legal entity, you represent and warrant that you are authorised to bind that entity to these Terms, and all references to "you" shall apply to that entity.

    These Terms constitute a legally binding agreement. If you do not agree to any part of these Terms, you must immediately cease using the Platform and Services and close your Account.

  3. Eligibility & Account Registration

    1. Eligibility Requirements

      To use the Platform and Services, you must meet all of the following eligibility criteria at all times:

      • You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher.
      • You are not a resident of, incorporated in, or accessing the Platform from a Prohibited Jurisdiction. Prohibited Jurisdictions include but are not limited to countries subject to comprehensive economic sanctions by the United Nations, European Union, United Kingdom, United States of America, or other applicable bodies.
      • You are not a Politically Exposed Person (PEP) or on any sanctions list maintained by an applicable authority without prior written disclosure to and approval by Arbridge.
      • Your use of the Services is not prohibited under any applicable law, regulation, rule, or court order in your jurisdiction.
      • You have not previously been suspended or permanently banned from the Platform.
    2. Account Registration

      To access certain features of the Platform, you must register an Account. During registration, you agree to:

      • Provide accurate, current, and complete information as prompted by the registration process.
      • Maintain and promptly update your Account information to keep it accurate, current, and complete.
      • Create only one Account per person or legal entity unless expressly authorised by Arbridge in writing.
      • Not use another person's identity or impersonate any individual or entity in connection with Account registration or use.
  4. Description of Services

    1. Platform Overview

      Arbridge Network provides an automated crypto trading platform that enables users to access arbitrage and cross-chain trading strategies through our proprietary AI-powered execution system, Pulse.

      The Platform facilitates automated trade execution across multiple blockchain networks on behalf of users in accordance with the parameters and settings they configure.

    2. Automated Trading via Pulse

      Pulse is an automated execution system that operates based on algorithmic logic, AI-driven probabilistic modelling, and predefined market criteria. By activating Pulse, you authorise Arbridge to execute trades, cross-chain swaps, and other transactions on your behalf automatically, without requiring your individual approval for each transaction.

      You understand and accept that activating Pulse grants Arbridge discretionary authority to execute transactions on your behalf within the parameters of these Terms and your account configuration. You remain fully responsible for all outcomes of automated trading activity conducted through your Account.

    3. Arbitrage Trading

      Pulse identifies and executes arbitrage opportunities, price discrepancies for the same or equivalent digital assets across different markets and exchanges. Arbitrage trades are executed automatically when statistical conditions meet our system's predefined thresholds. No guarantee is made that all arbitrage opportunities identified by Pulse will result in profitable trades.

    4. Cross-Chain Execution

      The Platform facilitates the transfer of digital assets across different blockchain networks via secure bridge infrastructure. Cross-chain operations are subject to the conditions, limitations, and risks of the underlying blockchain protocols and bridge providers used to execute such transfers.

    5. Service Availability

      We strive to maintain Platform availability 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted access to the Platform or Services. Scheduled maintenance, network disruptions, blockchain congestion, third-party service failures, or other events outside our control may result in temporary unavailability.
      Arbridge shall not be liable for losses arising from service interruptions.

    6. Service Modifications

      Arbridge reserves the right to modify, suspend, or discontinue any feature, function, or aspect of the Platform or Services at any time, with or without notice, at its sole discretion. We may introduce new features subject to additional terms and conditions.

  5. User Obligations & Prohibited Conduct

    1. General Obligations

      As a condition of using the Platform, you agree to:

      • Comply with all applicable laws, regulations, and rules in your jurisdiction in connection with your use of the Platform.
      • Provide truthful, accurate, and complete information to Arbridge at all times, including during registration and throughout the course of your Account relationship.
      • Use the Platform solely for lawful purposes and in accordance with these Terms.
      • Promptly notify Arbridge of any security breach, unauthorised access, or suspicious activity relating to your Account.
    2. Prohibited Conduct

      You must not, under any circumstances:

      • Use the Platform for any unlawful purpose, including but not limited to money laundering, terrorist financing, tax evasion, fraud, or sanctions violations.
      • Attempt to manipulate markets, engage in wash trading, or use the Platform to execute trades that constitute market manipulation under applicable law.
      • Access the Platform from a Prohibited Jurisdiction or use technical means (such as VPNs, proxies, or anonymising services) to disguise your location or identity for the purpose of circumventing geographic restrictions.
      • Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Platform, Pulse, or any other proprietary technology of Arbridge.
      • Introduce or attempt to introduce any malware, virus, ransomware, Trojan horse, or other malicious code into the Platform or its infrastructure.
      • Use automated bots, scrapers, or data mining tools to access or extract content from the Platform without Arbridge's express written consent.
      • Impersonate Arbridge, any Arbridge employee, another user, or any other person or entity.
      • Engage in any conduct that interferes with, disrupts, or damages the Platform, its infrastructure, or other users' access.
      • Attempt to gain unauthorised access to any portion of the Platform, another user's Account, or any systems or networks connected to the Platform.
      • Use the Platform to transmit unsolicited commercial communications or spam.
    3. Consequences of Breach

      Breach of your obligations under this Section may result in immediate Account suspension or termination, reporting to relevant regulatory or law enforcement authorities, forfeiture of access to funds held in connection with the Platform pending investigation, and legal action to recover any losses suffered by Arbridge or third parties as a result of your breach.

  6. Account Security

    You are solely responsible for maintaining the security of your Account, including your login credentials, passwords, multi-factor authentication devices, and any other access controls. You agree to:

    • Create a strong, unique password for your Account and not use the same password across multiple services.
    • Enable multi-factor authentication (MFA) where available and maintain control over your MFA device or application.
    • Never share your login credentials, API keys, or access tokens with any third party.
    • Log out of your Account after each session, particularly when using shared or public devices.
    • Contact Arbridge immediately if you suspect or become aware of any unauthorised access to your Account or any security breach.

    Arbridge will never request your password via email, live chat, telephone, or any other unsolicited channel. Any request for your password from someone claiming to represent Arbridge should be treated as a fraudulent attempt and reported immediately.

    You bear full responsibility for all activity conducted through your Account, whether authorised by you or not, unless you have promptly notified Arbridge of any unauthorised access and Arbridge has confirmed such notification. Arbridge cannot be held liable for losses resulting from your failure to maintain the security of your Account.

  7. Fees, Charges & Payments

    1. Fee Changes

      Arbridge reserves the right to introduce new fees or modify existing fees at any time. We will provide reasonable advance notice of material fee changes via email or prominent notice on the Platform. Your continued use of the Services following such notice constitutes acceptance of the revised fee structure.

    2. Taxes

      You are solely responsible for determining and satisfying all tax liabilities arising from your use of the Platform and any gains, losses, or income generated through your Account. Arbridge does not provide tax advice. We recommend consulting a qualified tax professional in your jurisdiction regarding the tax treatment of digital asset trading activities.

    3. Deposits & Withdrawals

      Deposits and withdrawals are subject to minimum and maximum limits, processing times, and verification requirements set by Arbridge and, where applicable, third-party payment providers. Arbridge reserves the right to delay, hold, or refuse processing of deposits or withdrawals where required for compliance, security, or fraud prevention purposes.

  8. Trading, Execution & Risk Disclosure

    1. No Guarantee of Returns

      Arbridge Network does not guarantee any specific level of performance, profit, or return on any funds deployed through the Platform. All trading activity, including automated arbitrage and cross-chain strategies executed by Pulse, involves risk. Past performance is not indicative of future results.

    2. Specific Risks

      By using the Platform, you acknowledge and accept the following risks, among others:

      • Market Risk

        Digital asset prices are highly volatile and can change rapidly. Arbitrage opportunities may close before execution, resulting in unfavourable outcomes.

      • Execution Risk

        Trade execution is subject to network latency, blockchain congestion, and liquidity constraints. There is no guarantee that trades will be executed at the anticipated price or at all.

      • Bridge Risk

        Cross-chain transfers utilise third-party bridge infrastructure, which is subject to its own security risks, failures, and limitations. Bridge exploits or failures could result in loss of funds.

      • Regulatory Risk

        The regulatory environment for digital assets is evolving. Changes in law or regulation may adversely affect the availability, value, or legality of digital assets or trading activities.

      • Liquidity Risk

        Digital asset markets may experience periods of low liquidity, which can affect trade execution and the ability to withdraw funds.

      • Technology Risk

        System failures, cybersecurity incidents, or outages affecting the Platform, third-party providers, or blockchain networks may result in temporary or permanent loss of access to funds or services.

      • Blockchain Immutability Risk

        Transactions confirmed on a blockchain are irreversible. Errors in wallet addresses or transaction parameters cannot be undone.

    3. No Financial Advice

      Nothing on the Platform, in these Terms, or in any communication from Arbridge constitutes financial, investment, legal, or tax advice. You are solely responsible for evaluating whether the Services are suitable for your individual financial circumstances, investment objectives, and risk tolerance. We strongly recommend obtaining independent professional advice before using the Platform.

    4. Order Finality

      Automated trades executed by Pulse are final upon blockchain confirmation unless otherwise stated. You acknowledge that trade instructions transmitted through the automated system may be irreversible once initiated and that you bear all consequences of executed trades, including those resulting from system errors or suboptimal market conditions.

  9. Intellectual Property

    1. Arbridge Intellectual Property

      All intellectual property rights in and to the Platform, including but not limited to the Arbridge brand, logo, Pulse system, software, source code, algorithms, databases, user interface designs, content, and documentation, are owned by or licensed to Arbridge Network. These rights are protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

    2. Licence to Users

      Subject to your compliance with these Terms, Arbridge grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your personal or internal business use in accordance with these Terms. This licence does not include the right to copy, modify, adapt, distribute, sell, reverse-engineer, or create derivative works of any part of the Platform.

    3. Restrictions

      You must not remove, obscure, or alter any proprietary notices, trademarks, or copyright symbols on the Platform. You must not use the Arbridge name, logo, or branding in any manner that suggests endorsement or affiliation without our express written consent.

    4. User Content

      If you submit any content, feedback, suggestions, or other communications to Arbridge, you grant us a worldwide, non-exclusive, royalty-free, perpetual licence to use, reproduce, modify, and publish such content for the purpose of improving our Services. You represent that you have the rights necessary to grant this licence.

  10. Third-Party Services & Integrations

    The Platform integrates with third-party services including blockchain networks, bridge providers, identity verification services, analytics providers, and other technology partners. Your use of third-party services accessed through or in connection with the Platform is governed by the respective third-party terms and conditions and privacy policies.

    Arbridge does not endorse, control, or assume responsibility for any third-party services, their availability, accuracy, security, or the content they provide. We are not liable for any loss or damage arising from your use of or reliance on third-party services, including failures of bridge infrastructure, exchange counterparties, or blockchain protocols.

    Links to third-party websites on the Platform are provided for convenience only. Arbridge does not represent that any linked website is safe, secure, or appropriate for your use. You access third-party sites entirely at your own risk.

  11. Disclaimers & Limitation of Liability

    1. Disclaimer of Warranties

      THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARBRIDGE NETWORK EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED AVAILABILITY.

      Arbridge does not warrant that the Platform will be error-free, that defects will be corrected, that the Platform or servers are free from viruses or harmful components, or that the Services will meet your requirements or expectations.

    2. Limitation of Liability

      TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARBRIDGE NETWORK, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE FOR:

      • Any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, or loss of goodwill;
      • Any loss arising from market movements, price volatility, or unfavourable trading outcomes;
      • Any loss resulting from failure of third-party services, blockchain networks, bridge infrastructure, or smart contracts;
      • Any loss resulting from unauthorised access to your Account where you have failed to maintain adequate security;
      • Any loss arising from reliance on information or content available on the Platform;
      • Any loss arising from service interruptions, system failures, or unavailability of the Platform.

      Where liability cannot be excluded by law, our total cumulative liability to you for all claims arising from or in connection with these Terms or your use of the Services shall not exceed the total fees paid by you to Arbridge during the three (3) months immediately preceding the event giving rise to the claim.

    3. Force Majeure

      Arbridge shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, blockchain network failures, regulatory changes, cyber-attacks, or failures of third-party infrastructure providers.

  12. Indemnification

    You agree to indemnify, defend, and hold harmless Arbridge Network and its directors, officers, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to:

    • Your violation of these Terms or any applicable law or regulation;
    • Your use of the Platform or Services in a manner not authorised by these Terms;
    • Any content, information, or materials you submit to the Platform;
    • Your negligence, wilful misconduct, or fraud;
    • Your infringement of any third-party intellectual property, privacy, or other rights;
    • Any dispute between you and any third party arising from your use of the Platform.

    Arbridge reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you agree to cooperate with Arbridge's defence of such claim.

  13. Suspension & Termination

    1. Termination by You

      You may close your Account at any time by contacting our support team or using the account closure function within your Account settings. Account closure is subject to completion of any pending transactions, resolution of outstanding obligations, and compliance with our withdrawal procedures. Arbridge may retain certain records following account closure as required by applicable law.

    2. Suspension or Termination by Arbridge

      Arbridge reserves the right to suspend, restrict, or permanently terminate your Account and access to the Services at any time, with or without notice, in the following circumstances:

      • You breach or are suspected of breaching any provision of these Terms;
      • We are required to do so by applicable law, regulation, or order of a competent authority;
      • We reasonably believe your Account is being used for fraudulent, illegal, or suspicious activity;
      • You fail to provide requested documentation or information within required timeframes;
      • Continuing to provide Services to you would expose Arbridge to legal, regulatory, or reputational risk;
      • You are or become a resident of a Prohibited Jurisdiction.
    3. Effect of Termination

      Upon termination of your Account, your licence to use the Platform immediately ceases. Arbridge may retain your data as required by law and these Terms. Any outstanding obligations, including outstanding trades, fees, or pending transactions, must be settled. Sections of these Terms that by their nature should survive termination will remain in full force and effect, including Sections 9 (Intellectual Property), 11 (Disclaimers & Limitation of Liability), 12 (Indemnification), and 15 (Governing Law & Dispute Resolution).

  14. Compliance & AML

    1. Regulatory Compliance

      Arbridge Network is committed to operating in compliance with all applicable laws and regulations, including those relating to anti-money laundering, counter-terrorism financing, economic sanctions, and financial services regulation. Our compliance obligations may vary by jurisdiction and are subject to change as the regulatory landscape evolves.

    2. AML Monitoring

      Arbridge continuously monitors transactions and account activity for indicators of money laundering, fraud, sanctions violations, and other financial crime. We reserve the right to report suspicious activity to relevant authorities as required by law, without notification to the user where legally prohibited, and to freeze, hold, or refuse transactions pending investigation.

    3. User Representations Regarding Compliance

      By using the Platform, you represent and warrant on a continuing basis that: all funds deposited into the Platform are from legitimate sources; you are not using the Platform on behalf of or for the benefit of any sanctioned individual, entity, or jurisdiction; and you will promptly notify Arbridge if any of your representations become inaccurate.

  15. Dispute Resolution

    1. Informal Resolution

      Before initiating any formal dispute resolution proceedings, you agree to first contact Arbridge at the details set out in Section 18 and make a good faith effort to resolve the dispute informally. Arbridge will endeavour to respond to your complaint within 30 days of receipt and attempt to reach a mutually satisfactory resolution.

    2. Class Action Waiver

      To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in any class action lawsuit or class-wide arbitration against Arbridge.

    3. Exceptions

      Notwithstanding the foregoing, Arbridge reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain any breach or threatened breach of these Terms, protect intellectual property rights, or recover amounts owed.

  16. Amendments & Modifications

    Arbridge reserves the right to amend, update, or replace these Terms at any time and for any reason. When we make material changes to these Terms, we will:

    • Post the revised Terms on the Platform with an updated "Last Updated" and effective date;
    • Send a notification to your registered email address for significant changes;
    • Display a prominent notice on the Platform prior to the revised Terms taking effect.

    Minor changes, including grammatical corrections, typographical fixes, or clarifications that do not materially affect your rights or obligations, may be made without specific notice.

    Your continued use of the Platform after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must immediately cease using the Platform and close your Account in accordance with Section 13.a.

  17. General Provisions

    1. Entire Agreement

      These Terms, together with our Privacy Policy and any additional policies or agreements referenced herein, constitute the entire agreement between you and Arbridge Network with respect to your use of the Platform and Services and supersede all prior agreements, representations, and understandings.

    2. Severability

      If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

    3. Waiver

      Arbridge's failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision in the future. No waiver of any term shall be effective unless made in writing by an authorised representative of Arbridge.

    4. Assignment

      You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without Arbridge's prior written consent. Arbridge may assign these Terms or any of its rights and obligations hereunder, in whole or in part, at any time without your consent, including in connection with a merger, acquisition, or sale of assets.

    5. No Partnership or Agency

      Nothing in these Terms shall be construed to create any partnership, joint venture, agency, employment, or franchise relationship between you and Arbridge. You are an independent party and have no authority to bind Arbridge in any manner.

    6. Notices

      Notices from Arbridge to you will be provided via email to your registered address, through in-platform notifications, or by posting on the Platform. Notices from you to Arbridge must be sent to the contact details set out in Section 18. All notices shall be deemed received when delivered, provided there is no notification of delivery failure.

    7. Language

      These Terms are provided in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.

    8. Headings

      Section headings in these Terms are for convenience of reference only and do not affect the interpretation or construction of these Terms.
